1. Introduction and Acceptance

Welcome to tezzu! These Terms of Service ("Terms") govern your access to and use of the tezzu WhatsApp Commerce Platform, including our website, mobile applications, APIs, and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

These Terms apply to all users, including:

  • Merchants: Businesses using tezzu to sell products/services via WhatsApp
  • Customers: Individuals placing orders through WhatsApp
  • Visitors: Anyone browsing our website or materials

2. Definitions

  • "Platform" refers to the tezzu WhatsApp Commerce Platform and all associated services.
  • "Merchant" refers to any business entity registered on tezzu to sell products or services.
  • "Customer" refers to any individual who places orders through the Platform via WhatsApp.
  • "Order" refers to a purchase request made by a Customer to a Merchant through the Platform.
  • "Content" refers to text, images, menus, product listings, and other materials uploaded to the Platform.
  • "WhatsApp" refers to WhatsApp Messenger and WhatsApp Business API, owned by Meta Platforms, Inc.

3. Eligibility

3.1 Age Requirement

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you are at least 18 years of age.

3.2 Merchant Eligibility

To register as a Merchant, you must:

  • Be a legally registered business entity in India
  • Have valid GSTIN (if applicable)
  • Have valid FSSAI license (for food businesses)
  • Have a valid WhatsApp Business account or phone number
  • Comply with all applicable laws and regulations

3.3 Prohibited Users

You may not use the Service if you:

  • Have been previously banned from the Platform
  • Are prohibited by law from using such services
  • Intend to use the Service for illegal purposes

4. Account Registration and Security

4.1 Account Creation

To access certain features, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.

4.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access

We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised.

4.3 One Account Per Entity

Each Merchant may maintain only one account per legal business entity. Multiple stores or outlets under the same entity may be managed within a single account.

5. Merchant Terms and Obligations

5.1 Product Listings

Merchants agree to:

  • Provide accurate and complete product information
  • Set correct and fair prices (including taxes)
  • Maintain up-to-date availability status
  • Use only legally obtained images and content
  • Comply with all applicable food safety and labeling laws

5.2 Order Fulfillment

Merchants agree to:

  • Accept or reject orders within a reasonable timeframe (typically 5 minutes)
  • Fulfill accepted orders as per the stated specifications
  • Maintain food safety and hygiene standards (for food businesses)
  • Provide accurate delivery time estimates
  • Handle customer complaints professionally

5.3 Prohibited Products

Merchants may not sell:

  • Illegal drugs or controlled substances
  • Weapons, ammunition, or explosives
  • Stolen or counterfeit goods
  • Products that infringe intellectual property rights
  • Alcohol or tobacco (unless properly licensed)
  • Adult content or services
  • Any other items prohibited by law

5.4 Commission and Fees

Merchants agree to pay the applicable subscription fees and/or commission as per their selected plan. Fee structures are available on our pricing page and may be updated with 30 days' notice.

6. Customer Terms

6.1 Ordering

By placing an order, you agree to:

  • Provide accurate contact and delivery information
  • Be available to receive the order at the specified location
  • Pay for the order as per the agreed terms (COD or prepaid)
  • Not place fraudulent or fake orders

6.2 Order Cancellation

Orders may be cancelled before merchant acceptance. Once accepted, cancellation policies are determined by the individual merchant. Repeated order cancellations may result in account restrictions.

6.3 Payment

Customers agree to pay the full order amount including product cost, delivery charges, taxes, and any applicable fees. Currently, the Platform primarily supports Cash on Delivery (COD).

7. Platform Role and Limitations

7.1 Intermediary Status

tezzu acts as an intermediary platform connecting Merchants and Customers. We facilitate orders but are not a party to the actual transaction between Merchant and Customer.

7.2 No Warranty on Products

We do not manufacture, store, or sell any products. All products and services are provided directly by Merchants. We make no warranties regarding product quality, safety, or accuracy of descriptions.

7.3 Dispute Resolution

In case of disputes between Merchants and Customers, tezzu may assist in resolution but is not obligated to do so. Primary responsibility for dispute resolution lies with the parties involved.

8. Intellectual Property

8.1 tezzu IP

The Platform, including its design, code, features, logo, and content (excluding user-generated content), is owned by tezzu and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

8.2 Merchant Content

Merchants retain ownership of their content (menus, images, descriptions). By uploading content, Merchants grant tezzu a non-exclusive, worldwide license to use, display, and distribute such content for Platform operations.

8.3 Feedback

Any feedback, suggestions, or ideas you provide about the Platform may be used by us without any obligation or compensation to you.

9. Prohibited Activities

You agree not to:

  • Violate any applicable laws or regulations
  • Infringe on the rights of others
  • Send spam, unsolicited messages, or abuse the WhatsApp integration
  • Attempt to hack, disrupt, or compromise the Platform
  • Use bots, scrapers, or automated tools without permission
  • Impersonate another person or entity
  • Engage in fraudulent activities
  • Interfere with other users' use of the Platform
  • Upload malware, viruses, or malicious code
  • Circumvent any security or access controls

10. Termination

10.1 By You

You may terminate your account at any time by contacting us at support@tezzu.io. Merchants must fulfill all pending orders and settle outstanding payments before account closure.

10.2 By Us

We may suspend or terminate your account if you:

  • Violate these Terms
  • Engage in fraudulent or illegal activities
  • Fail to pay applicable fees
  • Receive excessive customer complaints
  • Remain inactive for an extended period

10.3 Effect of Termination

Upon termination, your right to use the Platform ceases immediately. Provisions that by their nature should survive termination shall survive (including IP rights, disclaimers, and limitations of liability).

11. Disclaimers

IMPORTANT

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. WE DO NOT WARRANT THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT ON THE PLATFORM.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TEZZU SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, or business
  • Loss of data or goodwill
  • Product quality or safety issues
  • Delivery delays or failures
  • WhatsApp service interruptions
  • Third-party actions or content

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE SIX (6) MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless tezzu, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Platform
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your products or services (for Merchants)
  • Your content

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

14.2 Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved through:

  1. Informal Resolution: Contact us first at legal@tezzu.io to attempt amicable resolution.
  2. Mediation: If informal resolution fails, the dispute shall be referred to mediation.
  3. Arbitration: Unresolved disputes shall be finally settled by arbitration in accordance with the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be New Delhi, India.

14.3 Jurisdiction

Subject to the arbitration clause above, the courts of New Delhi, India shall have exclusive jurisdiction over any matters arising from these Terms.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and tezzu regarding the Service.

15.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

15.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.

15.5 Notices

We may provide notices to you via email, WhatsApp, or posting on the Platform. You may provide notices to us at legal@tezzu.io.

16. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be notified through:

  • Email notification to registered users
  • Prominent notice on our website
  • In-app or WhatsApp notification

Continued use of the Service after changes constitutes acceptance of the modified Terms.

BY USING THE TEZZU PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE.
